Terms of Service

1. Introduction
These Terms of Service (“Terms”) govern your access to and use of The Journal (“the Service”), a trade journaling and analytics platform operated by The Journal Inc. (“we,” “us,” or “our”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
We may update these Terms from time to time. When we make material changes, we will notify you via email or through the Service before the changes take effect. Your continued use after the effective date constitutes acceptance of the updated Terms.
2. The Service
The Journal is a trade journaling and analytics platform that allows you to import, organize, and analyze your trading activity across multiple exchanges and asset classes. Features include automated trade syncing, performance analytics, AI-powered insights, trade replay, and strategy tracking.
Not financial advice. The Service is provided for informational and journaling purposes only. Nothing on the Service — including AI-generated insights, analytics, metrics, or any other content — constitutes financial, investment, legal, or tax advice. Past performance does not guarantee future results. You are solely responsible for your trading decisions.
We do not execute trades, hold custody of funds, or act as a broker, exchange, or investment adviser. The Journal is a record-keeping and analysis tool only.
3. Eligibility and Accounts
You must be at least 18 years old to use the Service. By creating an account, you represent that you meet this age requirement and that the information you provide is accurate and complete.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access or breach of security. We are not liable for any loss arising from unauthorized use of your account.
You may register using an email address and password, a third-party authentication provider (such as Google), or a cryptocurrency wallet via Sign-In with Ethereum (SIWE). You are responsible for the security of whichever authentication method you choose.
4. Exchange Connections and API Keys
The Service allows you to connect read-only API keys from supported cryptocurrency exchanges and brokerage accounts to automatically import your trade history. You represent and warrant that:
- You have the right to create and use those API keys on the relevant exchange or platform.
- Any API keys you provide are configured with read-only permissions (no trading, withdrawal, or transfer access).
- You will revoke API keys promptly if you stop using the Service or suspect a compromise.
We will never use your API keys to execute trades, withdraw funds, or perform any write operation on any exchange. API secrets are encrypted at rest using industry-standard envelope encryption.
5. Subscriptions and Payment
The Journal offers both free and paid subscription tiers. Pricing, features, and billing terms for each tier are described on our Pricing page. All fees are in United States dollars unless stated otherwise.
Paid subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel. You may cancel at any time from your Billing settings; cancellation takes effect at the end of the current billing period. Fees are non-refundable except as required by applicable law.
We reserve the right to change our pricing with at least 30 days’ notice. Price changes will not affect your current billing period and will take effect at the start of the next renewal.
6. Intellectual Property
The Service and all content, features, and functionality — including but not limited to the user interface, software, design, logos, text, graphics, and analytics methodologies — are owned by The Journal Inc. and protected by copyright, trademark, and other intellectual property laws.
Your data is yours.You retain full ownership of the trade data, notes, screenshots, tags, strategies, and any other content you upload or create within the Service (“Your Data”). By using the Service, you grant us a limited, non-exclusive license to process Your Data solely as necessary to provide and improve the Service.
We may use aggregated, anonymized, and de-identified data derived from usage of the Service for analytics, benchmarking, and product improvement, provided that such data cannot be used to identify you or your trading activity individually.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except as expressly permitted by applicable law.
- Use the Service to transmit viruses, malware, or any other malicious code.
- Attempt to gain unauthorized access to the Service, other users’ accounts, or our systems.
- Use automated means (bots, scrapers) to access the Service without our prior written consent.
- Resell, sublicense, or commercially exploit the Service without a separate agreement.
- Upload or transmit any content that is infringing, defamatory, or otherwise violates third-party rights.
8. Third-Party Services
The Service integrates with third-party platforms, including cryptocurrency exchanges, brokerage APIs, and authentication providers. We are not responsible for the availability, accuracy, or security of any third-party service. Your use of third-party services is subject to their respective terms and policies.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or completely secure; that data imports will be perfectly accurate; or that any analytics, metrics, or AI insights will be error-free or suitable for trading decisions. You acknowledge that data from third-party exchanges may contain errors, omissions, or delays, and that we rely on those third-party data sources.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE JOURNAL INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, TRADING LOSSES, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100). THE FOREGOING LIMITATIONS SHALL NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
11. Indemnification
You agree to indemnify, defend, and hold harmless The Journal Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your violation of these Terms, (b) your use of the Service, (c) Your Data, or (d) your violation of any third-party rights or applicable law.
12. Termination
You may stop using the Service and delete your account at any time from your Account settings. Upon deletion, we will permanently delete Your Data in accordance with our Privacy Policy, except as required for legal compliance or legitimate business purposes (such as fraud prevention).
We may suspend or terminate your access to the Service, with or without notice, if: (a) you violate these Terms, (b) your use creates risk or potential legal exposure for us, (c) you fail to pay applicable fees, or (d) we discontinue the Service (in which case we will provide reasonable advance notice).
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware.
Before filing a formal legal claim, you agree to contact us at legal@thejournal.app and attempt to resolve the dispute informally for at least 30 days.
14. Miscellaneous
These Terms constitute the entire agreement between you and us regarding the Service and supersede any prior agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision is not a waiver.
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or in connection with a merger, acquisition, or sale of substantially all of our assets.
